摘要:并购是企业扩张的重要手段,成功的并购对于企业的发展有极大的推动作用。然而,在实际运作过程中,失败的案例屡见不鲜。因为,企业的并购能否成功除了交易价格、目的、对象和并购的时间等收购因素外,还有许多重要的环节,如并购后并购方能否对于被并购企业实施有效的接管,并购方是否能根据并购的战略目标对被并购的企业准确地实施重组、整合或再造等策略。所以,通过系统全面的研究并购后并购双方的重组、整合、再造的策略,将有助于企业在并购后实施有效的策略,提高并购的成功率,达到企业预期的战略目的。并且对于不同的并购目的、不同的企业情况,并购方需要采用重组、整合、再造策略也会有所不同。本文从分析并购的动因入手,企业在并购后如何对并购双方的经营资源进行重组、整合、再造进行了较为系统全面的研究,并结合联想收购IBM的PC业务的案例进行详细的分析。12316

The Restructuring, Integration And Reengineering Strategies Of Managerial Resources After Corporation Merger And Acquisition
Abstract:The acquisition is an important means of business expansion, the success of mergers and acquisitions have a great role in promoting the development of enterprises. However, in the actual operation of the process, the failure is not uncommon. Because of mergers and acquisitions success of the acquisition of factors of the transaction price, purpose, object, and M & A time, there are many important aspects, such as post-merger M & A whether the acquired company to implement an effective takeover, the acquirer whether according to the strategic objectives of the mergers and acquisitions M & A corporate implementation of the reorganization, consolidation or recycling strategy. So, a comprehensive study of mergers and acquisitions through the system after the acquisition of both the reorganization, consolidation, and recycling strategies, will contribute to post-merger implementation of effective strategies to improve the success rate of mergers and acquisitions to achieve the strategic purpose of the enterprise expected.
